By accessing or using STEM Practice services (“Services”), you agree to these Terms of Service (“Terms”). If you disagree with any part, do not use our Services.

2. Services Description

STEM Practice provides:

  • Sovereign cloud infrastructure deployment
  • Modular datacenter solutions
  • AI/ML infrastructure platforms
  • Consulting and professional services
  • Managed infrastructure services

3. Use of Services

Acceptable Use

You agree to use our Services:

  • In compliance with all applicable laws
  • Without violating others’ rights
  • Without attempting unauthorized access
  • Without distributing malware or harmful code
  • In accordance with your service agreement

Prohibited Uses

You may not:

  • Resell Services without authorization
  • Use Services for illegal activities
  • Attempt to breach security measures
  • Interfere with Service operations
  • Violate export control laws

4. Account Responsibilities

  • Maintain accurate account information
  • Protect your credentials
  • Notify us of unauthorized access
  • Responsible for all account activity
  • Must be 18+ or have authority to bind organization

5. Intellectual Property

Our Property

All STEM Practice content, software, and materials remain our property or our licensors'.

Your Property

You retain ownership of your data and content. You grant us limited rights to provide Services.

Feedback

Suggestions and feedback become our property without compensation.

6. Data & Privacy

  • Governed by our Privacy Policy
  • You maintain data ownership
  • We ensure data sovereignty
  • Compliance with applicable regulations
  • Right to audit security measures

7. Payment Terms

  • Prices as specified in service agreements
  • Payment terms per contract
  • Late payments subject to fees
  • Disputes must be raised within 30 days
  • No refunds unless specified

8. Service Level Agreements

  • Specific SLAs in service contracts
  • 99.95% uptime target
  • Credits for downtime per agreement
  • Scheduled maintenance excluded
  • Force majeure exemptions

9. Confidentiality

Both parties agree to:

  • Protect confidential information
  • Use only for intended purposes
  • Limit disclosure to authorized personnel
  • Return information upon termination
  • Survive termination for 5 years

10. Warranties & Disclaimers

We Warrant

  • Services performed professionally
  • Compliance with specifications
  • No intentional harmful code

Disclaimers

  • Services provided “AS IS” where legally permitted
  • No guarantee of uninterrupted service
  • No warranty for third-party services

11. Limitation of Liability

Maximum Liability: Fees paid in prior 12 months

Exclusions: No liability for:

  • Indirect or consequential damages
  • Lost profits or revenue
  • Data loss (maintain backups)
  • Third-party claims

12. Indemnification

You indemnify STEM Practice against claims arising from:

  • Your use of Services
  • Violation of these Terms
  • Violation of laws or regulations
  • Infringement of third-party rights

13. Termination

Either Party May Terminate

  • For material breach (30-day cure period)
  • Immediately for security threats
  • Per contract termination clauses

Upon Termination

  • Access ceases immediately
  • Data return per contract
  • Payments due remain payable
  • Survival clauses continue

14. Governing Law

  • Governed by Delaware law
  • Disputes resolved in Delaware courts
  • Jury trial waiver
  • No class actions

15. Modifications

We may modify these Terms:

  • 30 days notice for material changes
  • Continued use constitutes acceptance
  • Enterprise agreements control if conflict

16. Force Majeure

Neither party liable for delays due to:

  • Natural disasters
  • Government actions
  • Internet outages
  • Other unforeseeable events

17. Export Compliance

You agree to comply with:

  • U.S. export laws
  • Sanctions and embargoes
  • Technology transfer restrictions

18. Entire Agreement

These Terms and applicable service agreements constitute the entire agreement.

19. Severability

If any provision is unenforceable, remaining provisions continue.
